وكالة قانونية لتأسيس شركة جديدة Power of Attorney for Establishing a New Company
| KNOW ALL MEN BY THESE PRESENTS that we ………….. Company (hereinafter referred to as “the Company “) duly incorporated in ……………… do hereby constitute and appoint Mr. ……………….., …………….. National, holder of Passport No. ………….. issued on …………. to be our true and lawful Attorney (hereinafter referred to as “the Attorney”) to act for and on behalf of the Company and to do all or any of the following acts and things relating to establishing and registering a new company, necessary, namely: |
ليكن معلوما للجميع بموجب هذا السند بأننا نحن شركة …………. (ويشار إليها هنا فيما يلي أدناه بـ “الشركة”) وهي شركة تأسست في ……………. بموجب هذا نسمي ونعين السيد/ ……………………. ، ……… الجنسية ويحمل جواز سفر رقم ……………، الصادر بتاريخ ……………، ليكون وكيلنا الحقيقي والشرعي (ويشار إليه فيما يلي أدناه بـ “الوكيل”) للتصرف لصالح ونيابة عن الشركة وليقوم بأي من الأفعال والأشياء اللازمة المذكورة أدناه، فيما يتعلق بتأسيس وتسجيل شركة جديدة وهى على وجه التحديد: |
| 1.To take all necessary actions as required, including but not limited to signing of all documents, Forms, applications arising out of or in connection with registration of trade marks, trade licenses, commercial registrations & chamber of commerce membership certifications, incorporation of new companies or dissolution of companies which the Company so deems necessary, sale or purchase or transfer of or investment in or assignment of shares in the Company’s subsidiaries or associates or in companies in which the Company has investments in and to certify Board Resolutions & other Board related Documents and to liaison with all Federal Ministries, Local Regulatory Authorities, Municipalities including the Emirates Securities & Commodities Authorities, Dubai Financial Market, Abu Dhabi Financial Markets, the Ministry of Planning, Department of Economic Development or such other competent Authority in the respective Emirate. |
1. القيام بجميع الأفعال الضرورية كما يكون مطلوبا بما في ذلك لكن دون حصر التوقيع على جميع المستندات والنماذج والطلبات الناجمة عن أو فيما يتعلق بتسجيل العلامات التجارية والتراخيص التجارية وشهادات السجل التجاري وشهادات عضوية غرفة التجارة وتأسيس الشركات الجديدة أو حل الشركات كما يراه الوكيل ضروريا وبيع أو شراء أو تحويل أو الاستثمار في أو التنازل عن أسهم في الشركات التابعة والزميلة للشركة أو في شركات يكون للشركة استثمارات فيها وأن يقوم بتصديق قرارات مجلس الإدارة وغيرها من المستندات الخاصة بمجلس الإدارة ومراجعة جميع الوزارات الاتحادية والهيئات التنظيمية المحلية والبلديات بما في ذلك هيئة الأوراق المالية والسلع بالدولة وسوق دبي المالي وسوق أبو ظبي للأوراق المالية ووزارة التخطيط ودائرة التنمية الاقتصادية أو غيرها من السلطات المختصة في الإمارة المعنية |
| 2. To appoint lawyers to institute legal proceedings whether civil or criminal before any court of law in the United Arab Emirates, act for or represent the Company before any court of law in the United Arab Emirates and to sign documents, swear affidavit statements, objections, plaints, appeals, revisions, applications and to defend all actions, suits legal proceedings whether civil or criminal and to enforce judgments, decrees and orders. | 2. تعيين المحامين لاتخاذ الإجراءات القانونية سـواء كانت مدنية أو جنائية أمام أي محكمة في دولة الإمارات العربية المتحدة وأن يتصرف لصالح الشركة ويمثله أمام أي محكمة في الإمارات العربية المتحدة وأن يوقع المستندات وأن يحلف اليمين على الإقرارات والإفادات وأن يقــدم الاعتراضات ولوائح الدعاوى والاستئناف وطلبات إعادة النظر والطلبات وأن يتولى الدفاع في جميع القضايا والدعاوى والإجراءات القانونية سواء كانت مدنية أو جنائية وأن ينفذ الأحكام والقرارات والأوامر الصادرة من المحكمة. |
| 3. To draw, sign, execute and deliver any notices or demands through the Notary Public or any other competent authority or officer and whenever necessary to appear before Court Notaries in Dubai or any other Emirate in the United Arab Emirates in Dubai or any other Emirates in the United Arab Emirates in connection with any proceedings brought or to be brought by or against the Company before any court or other judicial or quasi-judicial or other governmental or non-governmental tribunal in any part of the United Arab Emirates. |
3. تحرير وتوقيع وتنفيذ وتسليم أي إشعارات أو مطالبات عن طريق الكاتب العدل أو أي سلطة مختصة أو أي مسـئول آخــر ولــه أن يمثل متى كان ذلك ضرورياً أمام الكاتب العدل في دبـي أو أي إمارة أخرى في دولة الإمـارات العربية المتحدة فيما يتعلق بأي إجراءات قانونية تم أو سيتم اتخاذها من قبل أو ضد الشركة أمام أي محكمة أو أي هيئــة قضائية أو شبة قضائية أخرى أو أي هيئـــة حكومية أو غير حكومية أخرى في أي مكان في دولـة الإمارات العربية المتحدة. |
| This Power of Attorney shall in all respects be interpreted in accordance with, and governed by the laws applying in the United Arab Emirates. |
تفسر هذه الوكالة القانونية من جميع النواحي وتخضع للقوانين المعمول بها في دولة الإمارات العربية المتحدة. |
